Terms of Service
These Terms of Service ("Terms") govern your installation and use of Reapita, a Shopify app provided by Reapita, Inc. ("Reapita," "we," "us"). By installing Reapita on your Shopify store, you agree to these Terms on behalf of the legal entity that owns the store ("Merchant," "you"). If you do not have authority to bind that entity, you may not install the app.
1. The service
Reapita is a subscription-as-a-service application distributed via the Shopify App Store. The service includes the merchant admin app, the customer portal, the storefront subscribe widget, the dunning engine, the retention flow builder, the migration importer, the analytics dashboard, the AI features identified for your plan, and the email templates and APIs documented in our help center.
2. Plans, billing, and trials
- Plans and prices are described on the pricing page. Reapita charges a flat monthly fee. There is no transaction fee on subscription revenue collected via the service.
- Charges are collected by Shopify under your Shopify partner relationship and appear on your Shopify bill. Disputes about Reapita charges should be raised with us first; we'll work with Shopify to issue corrections where warranted.
- Paid plans include a 14-day free trial. You may downgrade to the Free plan at any time during the trial without charge.
- We may change pricing with at least 30 days' written notice. Your existing plan price is grandfathered for 12 months from the effective date of any increase.
3. Your responsibilities
- You will comply with applicable laws, including consumer protection, anti-spam (CAN-SPAM, CASL, GDPR e-Privacy), and tax laws.
- You will not use Reapita to sell goods or services prohibited by Shopify's Acceptable Use Policy.
- You will obtain all consents from your subscribers needed for us to lawfully process their data on your behalf.
- You will keep your Shopify account credentials secure and notify us promptly of any suspected unauthorized access.
4. Acceptable use
You may not:
- Reverse-engineer, decompile, or attempt to extract the source code of the service.
- Use the service to send unsolicited bulk email or content not directly related to a subscriber's active subscription.
- Use the service in a way that compromises its security, integrity, or availability for other merchants.
- Resell, sublicense, or white-label the service without a written commercial agreement.
5. Intellectual property
Reapita and all related software, content, and trademarks are owned by us or our licensors. You retain ownership of your store's data, products, customer records, and brand. We grant you a non-exclusive, non-transferable, revocable license to use the service during the term of your subscription.
6. Service availability
We target 99.9% monthly uptime for the billing engine and customer portal. We'll publish status at status.reapita.com and credit affected plans for any month in which uptime falls below 99.5%, calculated at 10% of that month's plan fee per full hour of downtime below the threshold, up to 100% of the month's fee.
7. Data & privacy
Our handling of personal data is governed by our Privacy Policy and, for subscriber data you control, our Data Processing Addendum.
8. Warranties & disclaimers
We warrant that we will provide the service with reasonable skill and care. Except as set out in these Terms, the service is provided "as is." We disclaim all other warranties to the maximum extent permitted by law — including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
Neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability for any claim arising under or related to these Terms will not exceed the greater of (a) the fees you paid us in the 12 months immediately preceding the event giving rise to the claim, or (b) $100. Nothing in these Terms limits liability for gross negligence, willful misconduct, or other liability that cannot be limited by law.
10. Indemnification
You will defend and indemnify Reapita against third-party claims arising from (a) your products or services, (b) your use of the service in violation of these Terms or law, or (c) your failure to obtain required consents from subscribers. We'll defend and indemnify you against third-party claims that the unmodified service infringes the claimant's intellectual property.
11. Term and termination
These Terms remain in effect for as long as Reapita is installed on your Shopify store. You may uninstall at any time from your Shopify admin; uninstalling terminates these Terms going forward but does not relieve you of fees accrued prior to termination. We may suspend or terminate your access for material breach of these Terms with notice, or immediately if your use poses a material risk to other merchants or to the service.
12. Export of data on termination
For 30 days after termination, you may export all of your data via the API or by contacting us. After that period, we will delete your data except where law requires longer retention. See the Privacy Policy for specifics.
13. Governing law & venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute will be resolved in the state and federal courts located in New Castle County, Delaware. You and we both consent to personal jurisdiction there. Where applicable consumer law gives you the right to sue in your local jurisdiction, this clause does not override that right.
14. Changes
We may update these Terms with at least 30 days' notice. Material changes that disadvantage you give you a right to terminate without penalty during that notice period.
